These Terms and Conditions (“Terms”) form an agreement between you and Emagine Reality LLC (“Emagine Reality,” “we,” “us,” or “our”) concerning your use of this website. By accessing or using the website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.

You must be at least 18 years old and legally able to enter into an agreement to use this website. If you use the site for an organization, you represent that you have authority to act for that organization.

2. Website purpose

This website provides general information about Emagine Reality, our capabilities, and ways to contact us. We may change, suspend, or discontinue any portion of the site at any time. We do not promise that every description, document, link, or feature will always be available or current.

3. Professional services and separate agreements

Website content, a discovery call, or an exchange of messages does not create a client, advisory, fiduciary, partnership, employment, or other professional relationship. A professional services relationship begins only when Emagine Reality and the client execute a written agreement.

If a signed client agreement conflicts with these Terms regarding the services covered by that agreement, the signed client agreement controls. Project scope, deliverables, payment, ownership, confidentiality, data handling, warranties, and liability for professional services are governed by that agreement.

4. Permitted and prohibited use

You may view, download, and print website materials for your internal business evaluation and other lawful, noncommercial use, subject to these Terms. You may not:

• Use the website in violation of applicable law or another person’s rights;
• Attempt to gain unauthorized access to the site, related systems, or another user’s information;

Emagine Reality names, logos, service names, and branding may not be used to imply sponsorship, endorsement, or affiliation without prior written permission.

Nothing in these Terms transfers ownership of intellectual property to you. Rights not expressly granted are reserved.

6. Communications and submissions

If you send us a question, idea, or other material through email or a linked scheduling service, you authorize us to use it to respond, evaluate a potential business relationship, and operate our business. Do not send confidential, proprietary, regulated, health, financial, or similarly sensitive information through the public website or an initial inquiry unless we have agreed in writing to receive it through an appropriate method.

9. Limitation of liability

To the fullest extent permitted by Texas law, the total aggregate liability of Emagine Reality arising from or related to the public website will not exceed one hundred U.S. dollars ($100). This limitation does not apply where liability cannot lawfully be limited and does not replace a different limitation agreed in writing for professional services.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Emagine Reality and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful misuse of the website, your violation of these Terms, or your infringement of another person’s rights.

11. Texas law and venue

These Terms and any dispute arising from or relating to the website are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

To the fullest extent permitted by law, you and Emagine Reality agree that any legal action concerning the website will be brought exclusively in the state courts located in Harris County, Texas, or the federal courts of the United States located in the Houston Division of the Southern District of Texas. You and Emagine Reality consent to the personal jurisdiction and venue of those courts.

Before filing a legal action, each party agrees to provide written notice of the dispute and make a good-faith effort for at least 30 days to resolve it informally. Either party may seek temporary or emergency relief when necessary to protect rights, confidential information, or systems.

12. General terms

Changes

We may update these Terms by posting a revised version on this page and changing the “Last updated” date. The revised Terms apply prospectively from their effective date. Your continued use of the site after that date means you accept the revised Terms.

Severability

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

No waiver

A delay or failure to enforce a provision is not a waiver of the right to enforce it later.
